For years, a foreigner who wanted a Dubai mainland company had to give 51% of it to a UAE national sponsor. That rule changed in 2021, but many founders still hear it, and the terms "sponsor", "local partner" and "local service agent" are often mixed up. This guide explains the local sponsor requirements in Dubai in 2026: when you can open a company without one, the few activities that still need UAE participation, and how a local sponsor differs from a local service agent.
Quick answer: No, most businesses in Dubai do not need a local sponsor. Free zone companies have always been 100% foreign-owned, and since 1 June 2021 a foreigner can own 100% of a mainland company in most activities. A local sponsor is still needed only for a short list of "strategic impact" activities. Separately, a non-GCC national running a one-person professional licence on the mainland usually needs a local service agent, who holds no shares.
What Is a Local Sponsor in Dubai?
A local sponsor was a UAE national (or a UAE-owned company) who held at least 51% of the shares in a mainland company, while the foreign investor held up to 49%. In practice, many sponsors were paid a fixed annual fee and side agreements gave the profits back to the foreign owner. The sponsor was a legal shareholder, which carried real risks for the foreign investor.
Business Setup Without Local Sponsor: What Changed in 2021
Federal Decree-Law No. 26 of 2020 amended the Commercial Companies Law with effect from 1 June 2021. It removed the general rule that a UAE national must own 51% of a mainland company, and it removed the requirement for branches of foreign companies to appoint a UAE national agent. The rules are now part of the current Commercial Companies Law, Federal Decree-Law No. 32 of 2021.
Each emirate then published the activities open to full foreign ownership. Dubai opened more than 1,000 commercial and industrial activities, and the Dubai Department of Economy and Tourism (DET) shows whether an activity allows 100% foreign ownership when you select it. Business setup without a local sponsor is now the normal route, not the exception.
Local Sponsor Requirements in Dubai 2026 by Structure
Structure | Local sponsor needed? | Local service agent needed? |
|---|---|---|
Free zone company (FZE / FZCO) | No | No |
Mainland LLC - activity open to 100% foreign ownership | No | No |
Mainland LLC - strategic impact activity | Yes, or as set by the regulator | No |
Sole establishment with a professional licence (non-GCC owner) | No | Usually yes |
Branch of a foreign company | No | No, since the 2021 changes |
Any structure owned by UAE or GCC nationals | No | No |
Dubai Mainland Company Without Local Sponsor
To set up a Dubai mainland company without a local sponsor, choose an activity that DET lists as open to 100% foreign ownership, then register an LLC as the only shareholder or with partners of any nationality. Everything else is the same as before: a trade name, initial approval, a notarised Memorandum of Association, an Ejari-registered office and the licence. A mainland company can trade anywhere in the UAE and bid for government work. See mainland company setup and our LLC company formation page.
Free Zone Company Without Local Sponsor
A free zone company without a local sponsor has always been the standard: every free zone allows 100% foreign ownership, with no UAE partner and no service agent. Free zone companies trade internationally and within their zone, and a Dubai free zone company can now apply to DET for a permit to serve mainland customers under Executive Council Resolution No. 11 of 2025. See free zone company setup.
Activities That Need a Local Sponsor in Dubai
Cabinet Resolution No. 55 of 2021 lists the activities with strategic impact, where foreign ownership is not automatic and the licensing authority and regulator decide the ownership terms. The activities that need a local sponsor in Dubai, or UAE participation set by the regulator, are:
- Security, defence and military activities
- Banks, exchange houses and finance companies
- Insurance
- Currency printing
- Telecommunications
- Hajj and Umrah services
- Quran memorisation centres
- Services related to fisheries
Two other cases are often confused with sponsorship. Registering as an official commercial agent of a foreign brand under the UAE commercial agencies law is generally limited to UAE nationals and UAE-owned companies. Regulated sectors such as healthcare, education, real estate and legal services need approval from their regulator (for example DHA, KHDA or RERA), but that is a licence approval, not a local sponsor.
Local Sponsor vs Local Service Agent
The difference between a local sponsor vs local service agent comes down to ownership:
Local sponsor | Local service agent (LSA) | |
|---|---|---|
Owns shares | Yes - historically 51% | No |
Share of profits | Legally yes, as a shareholder | No - a fixed annual fee |
Control of the business | As a shareholder | None |
When needed in 2026 | Strategic impact activities only | Mainly professional licences held by non-GCC nationals |
Role | Co-owner | Government liaison and paperwork |
Local Service Agent in Dubai: Role and Cost
A local service agent in Dubai is a UAE national appointed for a mainland professional licence, usually a one-person sole establishment owned by a non-GCC national - for example a consultant, designer, architect or IT professional. The LSA signs licence renewals and amendments at DET and represents the business with government departments, but holds no shares, takes no profit and has no say in how you run the business. Fees are agreed privately; market rates are often around AED 5,000-15,000 a year, so get the amount and the exit terms in writing. See our professional licence page.
If you want to avoid an LSA, a mainland LLC in an activity open to foreign ownership, or a free zone company, needs no agent.
Do I Need a UAE National as My Local Sponsor?
Only if your activity is on the strategic impact list, or the regulator for your sector requires UAE participation. For everything else - trading, e-commerce, consulting, IT, marketing, restaurants, contracting and most services - you do not need a UAE national as a shareholder. If you hold a professional licence as a sole establishment, the UAE national you appoint is a service agent, not a sponsor.
Note the other meaning of "sponsor" in the UAE: your residence visa is sponsored by your own company, not by a local sponsor. Once your company is licensed, it can sponsor visas for you, your staff and, through you, your family.
How to Start a Business in Dubai Without a Local Sponsor
To start a business in Dubai without a local sponsor:
- Check your activity on DET's list, or in your chosen free zone, to confirm it allows 100% foreign ownership.
- Choose the structure - a free zone company or a mainland LLC - so no sponsor or service agent is needed.
- Reserve the trade name and get initial approval.
- Submit documents - see the documents required for business setup checklist.
- Sign the Memorandum of Association and register the office.
- Collect the licence, then apply for your visa and bank account.
For a non-UAE national's full walk-through, read how to start a business in Dubai as a foreigner.
Already Have a Local Sponsor? Moving to 100% Ownership
Companies set up before 2021 can often move to full foreign ownership if their activity is now open. The usual steps are to agree the share transfer and any settlement with the sponsor, amend and notarise the Memorandum of Association, and update the licence at DET. Review any side agreements, bank mandates and visas linked to the sponsor before you start, as these are where most delays come from.
Common Mistakes
- Paying for a nominee sponsor you do not need because an older guide said one was required.
- Choosing a sole establishment when an LLC in the same activity would avoid the service agent.
- Not checking the activity code - ownership rules follow the activity, not the business name.
- Signing an LSA agreement with no fee cap or exit terms.
